The following Winery Terms of Use (“Winery Terms”) constitute an agreement between Really Grape LLC (“Company”), and you that governs your use of this website to establish a Winery account and all of its associated services, content, and functionality.
The Winery Terms are incorporated by reference into Really Grape’s Terms of Use, located here. If the Winery Terms are silent on any aspect, please review the Terms of Use.
For ease of reading, Company has published components of its Terms on multiple pages of this website. The following are incorporated as part of these Terms by reference:
Throughout the Winery Terms, the collective content from the Website and any product/service sold by Company on the Website will be referred to as “Company Content.”
Your use of the Company Content constitutes your acceptance of, and agreement to, the following Winery Terms.
MODIFICATION OF TERMS
Company reserves the right to modify, alter, amend, or update its products, Website, policies, and these Terms. These Terms are subject to change without notice. If you do not agree with or do not accept any part of these Terms of Use, you must not use the Website.
PURCHASE POLICIES
Establishing Your Account
On the Website, you may establish an account as a Winery (“Winery”).
No purchase is necessary to establish your account.
Dashboard
Upon creation of your Winery Account, you will receive access to our Winery dashboard (“Dashboard”), which gives you the ability to enter information about your Winery.
Profile Deletion & Cancellation of Account
If you want to cancel your account, you must delete your profile. However, if you delete your profile while you have pending bookings, all pending bookings will also be canceled.
VETTING
When you establish your Winery account, you will be required to go through our vetting process. During this process, we will require you to complete an application and provide any additional information requested. Please note that you must provide a valid VAT number.
BUILDING YOUR WINERY PROFILE
All Winery accounts may begin building a Winery Profile.
When building your profile, you agree to abide by the following rules:
- You will be honest. In other words, you won’t add incorrect information that may mislead consumers.
- You will ensure you are abiding by any necessary laws or regulations.
- You will abide by our code of conduct, listed below.
- If you are eligible for ecommerce, you will only list valid products that are available.
- If you upload any content, including images, photos of you, or video, you are granting us permission to post this content on your behalf.
- You agree to honor your contractual obligations. For example, if you have agreed to host an experience, you will host the experience offered.
- You will not post any confidential, defamatory, or inappropriate content on your profile.
Once your profile is live, any member of the public will be able to access it. It will be displayed with your business name and logo. Please do not submit a profile if you do not want it to be accessible to the public.
Filtering Criteria
Really Grape has a number of built-in types of filtering criteria, from types of experience, region, type of wine offered, and price point. You agree to enter honest information into the profile.
Our goal is to create good matches between Wineries and Sippers. If you do not include honest information, this may lead to unhappy clients and bad reviews.
MESSAGING
Through your Winery account, you will have access to use the Really Grape messaging system, which is offered through the Dashboard. This will allow you to message other users. At all times, you agree to follow our Code of Conduct when using the messaging system.
If it is found that any user has violated any of the Terms, Company reserves the right to ban the individual from holding an account on the Website or from accessing any Company Content.
You agree that Really Grape is not responsible for the content of any messages sent from third parties to you on the Winery Terms platform.
Contracts
When you accept any type of e-commerce transaction through the Website, you are entering into a contract with the purchaser. You agree to pay any fees that are listed for the Really Grape Commission.
Errors and Ommissions in Your Listings
You are solely responsible for the information provided in your products. Really Grape is not responsible for any errors or omissions.
OFFERING WINERY EXPERIENCES
Creating Experience Products
When you establish an account, you are offered the ability to offer experiences through Website.
To list an experience, you must create products in the Dashboard. You will be responsible for:
- Setting the price of each product;
- Setting the schedule and number of spaces available during that scheduled time;
- Providing any descriptions or photos;
- Specifying any restrictions
Experience Orders and Fulfillment
When a customer places an order for an experience, you will be notified through your Dashboard. You will have the option to automatically approve all bookings or you can manually accept/deny. If you select the option to manually review, it is then your responsibility to accept and book the reservation. You must confirm within one business day that you are accepting the reservation. Otherwise, it will be canceled.
You will receive the information regarding the customer and their reservation. If there is any incomplete information, it is solely your responsibility to obtain that information by communicating with the customer through the Dashboard.
Cancellation
A customer may cancel an experience at any time. If they provide at least 48 hours’ notice, they will not be charged for the experience. In this case, you will not receive payment. If they do not provide the appropriate amount of notice, Really Grape will collect the payment and disburse funds to you.
If you, the Winery, need to cancel outside of the 48-hour notice period, then you are required to provide a full refund to the Sipper.
Changes to Bookings
If a Sipper would like to add additional people, you are encouraged to accept the request, unless you have a valid reason for a denial. You must notify the Sipper if you make any changes to the itinerary.
Really Grape Service Fee
For all transactions booked through Really Grape, Really Grape will collect a service fee of 10% on all sales, plus a 3% transaction fee. This will be subtracted from the payment made to you.
For example:
If 4 sippers book a vineyard tour for 25 Euros, the total collected by Really Grape for the booking is 100 Euros. Really Grape’s commission is 10 Euros, plus the transaction fee of 3 Euros. This is a total of 13 Euros, excluding VAT. You, the Winery, will receive 87 Euros once the tour is completed.
Payment for Sales
Upon confirmation that you have completed the experience through the Dashboard, you will receive payment. You will receive the purchase price, less the Really Grape Commission.
Payment will be made to you through Stripe.
Your Responsibility
You are solely liable for hosting the experience. If you require any liability waivers from the customer, you must obtain these prior to the start of the experience.
No Guarantees
You agree that Really Grape is responsible for hosting your experience on the Really Grape platform only. There are no guarantees that you will receive reservations through the Website.
No Liability
You are solely responsible for all aspects of the experience. Really Grape serves solely as the portal through which you may list the experience products. Company is not liable for any activities.
OUR RELATIONSHIP
Your relationship with Really Grape is that of an independent business. You are not an employee, agent, joint venturer, or partner of Really Grape. We will act solely as the platform for your Winery Profile. If you have a Winery account, we will also serve as the payment platform for certain e-commerce transactions. All information you list in your Profile or Products is solely in your discretion, including all pricing and descriptions.
YOUR LEGAL OBLIGATION
At the time a purchase is made, the consumer will confirm they are of the age of majority; however, it is your responsibility to ensure that anyone participating in an experience is of age. We are not liable for any underage drinking.
You assume all risk associated with your listing and potential sale of products on Really Grape. Really Grape is responsible solely for the provision of the platform. All other responsibility is yours.
REVIEWS
Clients will be invited to leave reviews for Wineries. Please note that they are asked to leave honest feedback. If the review is honest and reflective of their experience with your products or services, we will not remove it simply because they left feedback with which you don’t agree.
If the review is false or inaccurate, you may notify us with a request to remove or correct it.
Please note that we will not actively monitor the reviews that are submitted. If there is an issue with a review, please notify us immediately.
Reviews will be attached to your profile and available for the public to view.
If we discover that you have deleted one account and opened a new account because you want to avoid having a review attached to your profile, we reserve the right to disable your new profile.
You agree that you will not hold Really Grape responsible for the content of any review left on your profile.
CODE OF CONDUCT
In your profile and all messages, you agree to follow our Code of Conduct. The following types of communication will not be tolerated:
- Harassment directed toward any Sippers or Company’s staff
- No profanity or sexual content
- Spam, which includes unsolicited pitches of any kind
- Hate Speech of any kind
- Defamatory statements regarding any party, including Company
- References to illegal acts
- Contributions that may violate the rights of any third party (e.g., claiming a piece of content is your work and another party has the rights)
Any violations of the Code of Conduct should be reported immediately to the Company. Company’s sole discretion will be used to determine if a member is in violation of these policies. Any Winery or Client in violation will be deleted promptly and will no longer be able to access their account. No refund will be due to a member who has been removed for a violation of this policy.
You agree to abide by the Really Grape Code of Conduct in your Winery Profile and any communications.
TESTIMONIALS
Occasionally, we may solicit testimonials about the Really Grape service. If you provide us with a testimonial, you agree that we may publish the content of the testimonial, as well as your Winery’s name and logo.
NO GUARANTEES
It’s our hope that all relationships formed through Really Grape will go smoothly. Our goal is to provide a platform where you can find the right customers.
However, we cannot guarantee that all relationships will go smoothly. The Really Grape Terms of Use contain additional information regarding our policy on guarantees. Please review them for more information.
OTHER TERMS
All other terms from the Terms of Use are incorporated into the Winery Terms.
